4. Payment Terms

• Retainer fees payable monthly in advance

• Payment due within 30 days of invoice

5. Cancellation and Refunds

• Retainer services require 30 days written notice for termination
• Travel bookings subject to supplier cancellation policies
• Cancellation fees may apply per supplier terms
• Service fees for completed work are non-refundable
• Unused portions of prepaid services may be refunded pro-rata

6. Prohibited Uses

Clients and users may not:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful or malicious code
• Attempt unauthorized access to systems
• Engage in fraudulent activities
• Harass or harm other users
• Use automated systems without permission
• Resell services without authorization

7. Intellectual Property

• No reproduction without written permission
• Client data remains client property
• Third-party content subject to respective owners' rights
• Trademark and copyright notices must be preserved

8. Disclaimers and Limitations

• Services provided "as is" without warranties
• No guarantee of specific outcomes
• Liability limited to service fees paid
• No liability for indirect or consequential damages
• Force majeure events exempt from liability
• Supplier errors and delays beyond our control

9. Dispute Resolution

• Initial attempt at informal resolution (30 days)
• Mediation as second step if needed
• Binding arbitration if necessary
• Jurisdiction: Singapore
• Applicable law: Singapore law
• Each party bears own legal costs unless otherwise awarded

10. Termination

Either party may terminate this agreement:

• With 30 days written notice
• Immediately for material breach

Upon termination:

• Access to services will be discontinued
• Outstanding payments remain due
• Certain provisions survive termination

11. Changes to Terms
